General Conditions of Sale - BITCO BE

  1.   The Parties
 

The general terms and conditions of sale are laid down in the articles below between Bitco BE SPRL (No. BCE BE 0737698658), whose registered office is established in 1050 Ixelles, Avenue Louise 486/5 (Belgium) (hereinafter referred to as "BITCO") and its customer (hereinafter referred to as "The Customer") whose name, full address and VAT number are mentioned on the back of this document.

 

  1. Ordering and distribution
 

2.1.   The Customer will place his order with Bitco through various means (by e-mail, letter, by contacting Bitco staff or via the web shop).

      An order shall only be binding on the Supplier if it is expressly accepted in writing. The Customer is expected to be aware of the properties, technical characteristics etc. of the goods or service.  He chooses the type of material or service according to his needs and under his exclusive responsibility.

      The Customer acknowledges that he has been fully informed about the characteristics of the goods and/or service and does not require any further information.

 

2.2.   Any order placed in Belgium for an amount of 500 EUR and more (VAT not included) will be delivered free of charge to the Customer within 3 working days. Delivery times are only given as an indication. It results in particular that if they are not respected, the Customer will not be able to cancel the contract, nor to request its resolution, nor to claim any compensation.

 

2.3 Any order less than the minimum order amount set for free delivery will be delivered to the Customer in return for a delivery charge or may be collected from Bitco's warehouse.

     The customer is responsible for checking the goods at the time of delivery. Any dispute after the signature of the order form or the invoice which mentions the complete and perfect delivery of the goods will not be accepted. The products will be deemed to be delivered completely and perfectly.

    The customer is responsible for the control of the defect or breakage that occurred at the time of transport on the goods delivered by the transport company. All goods delivered by the transport company must be checked after delivery and must be returned and/or a penalty notice must be drawn up if the goods are missing, defective or broken. Otherwise, Bitco will not accept any objections.

 
  1. Payments-Interest Clause-Penal Clause-Reservation of Property Clause
 

3.1. The Customer will pay the total amount of the invoice to Bitco's account within 15 calendar days from the date of the invoice. The Customer must also mention the invoice number or delivery note number in the payment.

Any amount unpaid on its due date will be increased, by operation of law and without prior notice of default, by conventional default interest at the rate of 15% per annum from the due date of the invoice until full payment.

Any amount unpaid on its due date will automatically and without prior formal notice result in the debiting of a fixed compensation of a total amount of 15% of the sum in principal, interest and costs, with a minimum amount of 50 €.

 

3.2. Bitco can forward to its lawyer and/or to the collection institution all claimed payments that have not been paid at the end of 15 days from the date of the invoice. All expenses relating to this procedure, interest on arrears and the operating costs of the collection institution will be charged to the Customer.

 

3.3. Bitco retains ownership of the rented or sold material until full payment of the price and its accessories (possible costs, interest and penalties). Consequently, the Customer expressly refrains from selling, assigning, pledging and in general disposing of the goods subject to the contract, before settlement of its account. The Customer is solely liable for the loss, even by fortuitous event or force majeure, of the equipment rented or sold.

The Customer undertakes to notify Bitco of any seizure made by a third party on the rented or sold equipment for which the price has not been paid in full.

Likewise, the Customer agrees to inform Bitco immediately in the event that the delivered and unpaid material is located in places rented by the Customer.

 

3.2. The Customer undertakes not to modify, remove or distort the signs, marks, numbers or other means of identification of the equipment, parts and/or services.

 
  1. Product return and warranty procedure

All goods returned by the customer and returned to Bitco's warehouse will be carefully checked and will be grouped into two categories according to the following procedure:

 

4.1. Non-defective products ;

 

4.1.1 Any non-defective product may be returned by the Customer to Bitco within 30 calendar days. Non-defective products which are not returned within the time limit from the date of the invoice will not be accepted.

 

4.1.2 Non-defective products whose original packaging has not been opened, the product has not been used, stored properly, with no missing parts and ready to be resold to another company, can be accepted. Bitco will perform the verification.

 

4.1.3. Bitco may unilaterally decide not to accept the return of goods that do not comply with the conditions set out in the previous point.

 

4.2.   Defective Products ;

 

4.2.1.      All products are under warranty for 12 months from the date of invoice for manufacturing defects.

 

4.2.2.      Defective products that are under a 12-month warranty will be replaced by a new product and delivered to the customer. In the event that the customer is not supplied, it will be reimbursed (a credit note will be established).

 

4.2.3.      The possible assembly of any product must be carried out by a qualified technician. Any defect related to misuse of the product is not covered by the warranty.

 

4.2.4.      In case of the presence of goods of another company among the products that have been returned to Bitco will not be replaced and will be destroyed without notifying the customer.

 

4.2.5.      If, after testing the defective products returned to Bitco, it is found that they are not defective, then they will be returned to the Customer without any formality.

 
  1. Competent Court and Applicable Law

In the event of a dispute, only Belgian law shall apply and the courts of Brussels shall have sole jurisdiction to settle the dispute.

 
  1. Other clauses

Any signature affixed to this document and any signature against receipt of the products implies acceptance of these clauses in their entirety. If these terms and conditions are not contested within 7 days, they are deemed to be accepted.
